These Terms of Use are the end-user license agreement for Elphi AI between you and Bosphorus Intelligence LLC, a Wyoming limited liability company ("we", "us").
1. About these Terms
"Elphi AI" means our AI assistant apps and the servers we run for them. You accept these Terms by using Elphi AI or buying a plan, and again by continuing when the app shows them as you sign in to an Elphi Account or first turn on cloud models. Our Privacy Policy explains how we handle data.
You must be at least 13, or older where local law requires. Under 18 (or the local age of majority), you need a parent's or guardian's permission: they accept these Terms for you and, as far as the law allows, are responsible for your use and purchases. Cloud models are only for people 18 or older: you confirm your age yourself before you first use them, and you must not use them if you are younger.
We may update these Terms. We will give notice before material changes take effect, at least 30 days ahead if they reduce your rights, unless the law or security requires sooner. Continued use after a change means you accept it.
If a translation conflicts with this English text, English prevails, except where Turkish consumer law requires the Turkish text.
2. On-device and cloud AI
On-device AI. By default, models run on your device and need no account.
Cloud models. Where available, Elphi AI Premium adds models run by third-party providers through our server: OpenAI (GPT), Anthropic (Claude), Google (Gemini) and SpaceXAI (Grok). Which providers and models are offered can vary by app version and region and change over time; the app shows those currently offered. Cloud models need an Elphi Account and Premium, your confirmation that you are 18 or older, your consent to the processing of sensitive information you choose to send, and your permission for each provider.
3. Plans
Free use includes a limited number of on-device answers a day, shown in the app. Plus unlocks the features shown on the Plus screen, including monthly web searches, as a monthly or yearly subscription or a one-time Lifetime purchase. Premium, a monthly subscription, includes Plus and adds cloud models with Cloud Credits. Prices and features are shown before you buy.
Plus features follow the Apple Account that bought the plan; cloud access follows the Elphi Account holding Premium. Every plan is personal to the Apple Account that buys it: plans are not shared through Family Sharing and are not offered as multiseat purchases.
Lifetime is a one-time purchase that unlocks Plus for as long as we offer and maintain Elphi AI in the App Store (the app's life, not yours). It does not include Premium and does not promise updates or support for any particular period.
Search packs. Bought searches do not expire. They are used after the monthly ones, the earliest bought first. If we stop offering Web Search or materially reduce it while you have unused bought searches, they will be handled as Apple's rules and applicable law require, for example by a refund through Apple where required.
Changes. We may change free use. We will not materially reduce a paid plan during a paid period unless the law, security or a provider requires it; if we do, you may end the plan with a refund for the unused part (for Lifetime, a proportionate refund or price reduction) through Apple or, if Apple declines, as the law requires.
4. Payment, renewal and refunds
Purchases go through Apple's App Store under Apple's terms. Subscriptions renew automatically unless automatic renewal is turned off at least 24 hours before the period ends; Apple charges within the last 24 hours. We currently offer no free trials; the yearly Plus plan may have an introductory first-year price for eligible users.
Cancel in your Apple Account's subscription settings. Deleting the app or your Elphi Account, buying Lifetime or a suspension does not cancel a subscription. A cancelled plan stays active until the paid period ends.
Apple handles refunds under its rules (reportaproblem.apple.com). If Apple refunds or revokes a purchase, its access, that period's Cloud Credits or a pack's unused searches can end. Consumers in the EU, the EEA, the UK and Türkiye may have a legal right to withdraw, exercised with Apple; where the law allows, it ends once supply starts at their request.
5. Cloud Credits
Each Premium billing period includes 10,000 Cloud Credits; on-device models use none.
- A cloud message uses credits based on the model that answers (with Elphi Auto, the one we choose) and the length of the conversation, attachments and answer.
- Credits may be set aside before sending; a message is not sent if your remaining credits may not cover it.
- A message uses no credits if it is stopped before it reaches a provider, or if the provider turns it away with an error or never responds. Once a provider has accepted it and started processing it, it can use credits, up to the amount set aside, even if you stop it, the provider declines or filters its answer, or a technical fault interrupts it.
- Credits belong to the Premium subscription and move with it to another Elphi Account. They do not carry over between billing periods, cannot be topped up or bought separately, have no cash value and are refundable only as Apple's rules or the law provide.
- Cloud models, providers and per-message credit use can change, subject to section 3.
- Outages, provider limits and overall usage limits we set to control cost and abuse can make cloud models unavailable at times, sometimes until the next day or month.
6. AI answers and your content
Elphi AI is an AI system: its answers are generated by AI models, not written by a person. AI answers can be wrong, incomplete, out of date or offensive, and do not reflect our views. Check facts independently before relying on them; you remain responsible for your decisions.
Answers are general information, not professional advice. For health, legal, financial or other important matters, consult a qualified professional. Elphi AI is not a medical device or emergency service: if anyone may be in danger, contact local emergency services.
As far as the law allows, you keep your rights in what you enter and we give you any rights we have in your answers. You let us use your content to provide and protect the features you use, as our Privacy Policy describes.
7. Acceptable use
Do not use Elphi AI or its answers to:
- break the law or infringe others' rights, including privacy and intellectual property;
- create sexually explicit content or anything that sexualizes minors;
- harass, threaten, defame or deceive anyone, or present AI output as if a person wrote it; or
- promote violence or self-harm, develop weapons or malware, or attack systems.
Do not get around safety measures, limits, age or regional restrictions, credits or purchase checks, or extract keys. Do not reach our server or the providers' services except through the app, reverse engineer those services, use cloud answers to train or develop AI models or resell Elphi AI.
With a cloud model, also follow its provider's usage policy: OpenAI's, Anthropic's, Google's or SpaceXAI's. Brave's web results are shown in the app for your personal use: do not store, cache, scrape, redistribute or resell them, or use them to train AI.
8. Third-party services
Elphi AI relies on independent companies, such as Apple, the AI providers named in section 2, Brave, Google, Hugging Face and the makers of the AI models, whose terms govern their services. Those services can change or stop. Subject to section 10, we are not responsible for services they provide to you directly. Elphi AI is developed independently and is not affiliated with, endorsed or sponsored by OpenAI, Anthropic, Google or SpaceXAI. Their names and model names are trademarks of their owners.
9. Safety, suspension and termination
We may limit or suspend cloud models or an Elphi Account if a provider blocks use connected to it, if we reasonably believe it is used unlawfully, fraudulently or against these Terms, or to protect others or our services. Refusals, filtered answers, moderation flags or technical limits alone do not lead to a suspension. A cloud suspension leaves on-device models, web search and Plus features working and adds no refund rights beyond Apple's rules and the law.
A restriction can follow the Premium subscription and the Apple Account that bought it, including to another Elphi Account, to that Apple Account's later Premium purchases and after account deletion. A provider's own block lasts until that provider lifts it; we cannot lift it. A safety restriction we place on cloud models does not expire on its own: you can ask for a review by a person at [email protected], and we review it at least every 12 months, but a review falling due does not lift it.
You can delete your Elphi Account in the app. Your license ends if you materially breach these Terms. We may stop offering Elphi AI or a feature, subject to section 3 and the law.
10. Disclaimers and liability
To the extent the law allows, Elphi AI and its answers are provided "as is" and "as available", without warranties of any kind, including of merchantability, fitness for a particular purpose, accuracy and non-infringement.
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability is limited to the greater of USD 50 and what you paid for Elphi AI purchases in the 12 months before the claim arose.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, gross negligence, willful misconduct or other liability that cannot legally be limited, or affects your statutory consumer rights. For consumers in the EU, the EEA and the UK, the two paragraphs above do not apply; we are responsible for foreseeable loss caused by our breach or lack of reasonable care and skill. For consumers in Türkiye and residents of New Jersey, this section applies only as far as their law allows.
Business users will indemnify us against third-party claims arising from their breach of these Terms.
11. License and Apple terms
We grant you a non-exclusive, non-transferable license to use Elphi AI on Apple-branded devices you own or control, as Apple's Usage Rules permit (the app itself may also be used through Family Sharing or volume purchasing; plans are not shared, see section 3); the Usage Rules prevail over conflicting terms. Except as the law allows, do not copy, modify, reverse engineer or redistribute the app. Open-source components and model files have their own licenses, listed in Settings › Legal › Open-Source Licenses, which you must follow.
These Terms are between you and us, not Apple. If Elphi AI fails to conform to an applicable warranty, you may notify Apple, which will refund its purchase price, if any; as far as the law allows, Apple has no other warranty obligation. Otherwise, we, not Apple, are solely responsible for Elphi AI, its content, maintenance and support (which Apple has no obligation to provide) and all claims relating to it, including warranty, product liability, regulatory, consumer protection, privacy and intellectual property claims, and their investigation, defense, settlement and discharge. You confirm that you are not in a U.S.-embargoed or "terrorist supporting" country, or on a U.S. Government list of prohibited or restricted parties. Follow applicable third-party terms, such as your wireless data agreement. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
12. Law, disputes and contact
Wyoming law governs these Terms and related disputes, without regard to conflict-of-laws rules. The state courts in Sheridan County, Wyoming, and the U.S. District Court for the District of Wyoming have exclusive jurisdiction.
Consumers in the EU, the EEA, the UK, Türkiye or other countries with mandatory consumer protections keep them and may sue in their home courts; where their law requires, we may sue them only there. In Türkiye, consumers may also use consumer arbitration committees under Law No. 6502. We do not require arbitration or commit to consumer dispute-resolution bodies unless the law does. Under Cal. Civ. Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.
If part of these Terms is unenforceable, the rest stays in effect.
